Terms & Conditions

1. General

GK Biotech (“Seller”) offers Products to the Buyer listed on the face hereof. Buyer must agree to the terms and conditions set forth herein, as any provisions in Buyer's document are rejected. Buyer's receipt of Products or Seller's services constitutes acceptance of this Agreement. This is the exclusive statement of the contract between Seller and Buyer. Any modifications must be in writing and signed by both parties. Seller's failure to object to subsequent communications from Buyer does not waive the terms herein. All orders are subject to written acceptance by an authorized representative of Seller. 

2. Price

Seller's prices may change without notice. Prices quoted are valid for thirty (30) days, unless stated otherwise in writing. Prices for Products will be as specified by Seller or, if not specified, the price at the time of shipment. Prices may be adjusted for specifications, quantities, raw materials, special packaging, production costs, and shipment arrangements. Minimum order quantities and/or handling charges may apply, and additional shipping costs or specialized packaging may incur additional charges.

3. Taxes & Other Charges

Product prices exclude taxes and duties. Buyer is responsible for paying all taxes and duties related to the sale, delivery, or use of the Products. If Buyer claims exemption, a valid certificate or letter of exemption must be provided for each respective jurisdiction.

4. Terms of Payment

Seller invoices Buyer upon shipment for the price and other charges. Payment is due within 30 days of invoice, unless otherwise agreed. If Buyer fails to pay on time, interest will be charged at 5% per month (or the highest rate permitted by law). Seller may require advance payment at any time. Payments must be made in local currency. Credit card payment is subject to Buyer's consent at the time of order. Ownership transfers to Buyer upon delivery and payment in full. Refunds are issued for cancelled orders. If unable to pay an invoice, Buyer must notify Seller within 30 days of invoice date. For cancellations and returns, contact info@gkbiotech.com

5. Delivery & Cancellation

Products are delivered from Seller's facility, unless agreed otherwise. Seller may make partial shipments and invoice each separately. Delivery may be stopped or withheld if Buyer fails to pay or perform. Shipping costs applies to orders below 4000 Sek and are calculated after the order placement.

Shipping dates are approximate, and Seller is not liable for delays due to causes beyond its control. In such cases, Seller may reschedule or terminate the order, and Buyer may not refuse delivery or be relieved of obligations.

6. Returns

Buyer returns receive 80% credit for undamaged products by mutual agreement. Returns below 450 SEK excl. VAT are not credited. Buyer covers return transport costs. Refrigerated and frozen goods are not returnable.

7. Complaints

Only documented manufacturing and material defects are considered as the cause of complaint. The buyer must inspect the delivered goods promptly, and cannot claim defects that could have been detected during this inspection, unless a written complaint is filed within 8 days of the buyer's opportunity to check the products. Inaccuracies that were not reasonably detectable during the inspection cannot be claimed unless a written complaint is filed within 6 months of delivery. GK Biotech will exchange or credit faulty goods, but will not accept claims for compensation beyond this. Complaints under 450 SEK will not be credited.

8. Limitation of Liability

GK Biotech is only liable for personal injury if it is proven that the injury is due to fault or neglect committed by GK Biotech. GK Biotech is not responsible for damage to real estate or movable property, nor for damage to products manufactured by the buyer or to products in which they are included. GK Biotech is not responsible for downtime, production losses, or other indirect losses. To the extent that GK Biotech would be liable for product liability by a third party, the buyer is obligated to indemnify GK Biotech to the same extent as GK Biotech’s liability is limited as stated above. GK Biotech and the buyer agree that disputes in the above cases involving less than 10 base amounts shall be settled before a public court. In other cases, disputes shall be settled by arbitrators in accordance with applicable law on arbitrators and with the application of Swedish law.
